These Terms of Service (“Terms”) govern access to and use of [https://bitrixnetwork.com] and the [BITRIXNETWORK] platform and services (collectively, the “Services”) provided by [DOVZH CONS LTD] (“[BITRIXNETWORK]”, “we”, “us”, “our”).

By accessing or using the Services, creating an account, or submitting an application as an Affiliate or Advertiser, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2) Scope and Europe-only operations

Our Services are designed for European markets only. By using the Services you confirm that you operate in, target, or otherwise work within Europe and will comply with all applicable laws and regulations in the relevant countries.

3) Definitions

  • Advertiser: a business that lists offers and pays for performance outcomes (CPA/CPL/CPS).
  • Affiliate: a publisher/media buyer who promotes offers and earns commissions for performance outcomes.
  • Offer: a campaign or promotion listed on the platform with defined conversion events and rules.
  • Conversion: a measurable event defined in an Offer (e.g., lead, registration, sale).
  • Tracking: attribution technology and reporting used to record clicks, conversions, and performance.
  • Payout: a payment we send to an Affiliate for earned commissions.

4) Eligibility and account requirements

You must be at least 18 years old and have the legal capacity to enter into a contract.

When you create an account, you agree to:

  • provide accurate and up-to-date information;
  • keep credentials secure and not share access;
  • promptly notify us of unauthorized use.

We may refuse, suspend, or terminate accounts to protect the platform’s integrity or comply with legal obligations.

5) Our Services (what we do)

We operate a performance-based affiliate marketing network that:

  • enables Advertisers to publish Offers on CPA/CPL/CPS terms;
  • enables Affiliates to promote Offers using approved traffic sources;
  • provides tracking, reporting, and commission calculation;
  • distributes earned commissions to Affiliates via payouts.

Important: We are not a bank and do not provide regulated financial services. Payouts are disbursements of earned commissions through available payment rails.

6) Advertiser terms

6.1 Offer requirements

Advertisers must ensure that Offers:

  • are lawful and compliant in each target country;
  • include clear conversion definitions and rules;
  • do not mislead users and do not contain prohibited content;
  • comply with our Responsible Marketing Policy and any Offer-specific restrictions.

6.2 Regulatory representations

If an Offer relates to regulated activities (including iGaming, financial products, or other regulated verticals), the Advertiser represents and warrants it has all required licenses, authorizations, and approvals in the relevant markets and will provide evidence if reasonably requested.

6.3 Advertiser payments and budgets

Advertisers are responsible for funding marketing budgets and paying agreed amounts for valid conversions per the Offer terms and any insertion order / agreement (if applicable).

7) Affiliate terms

7.1 Approved traffic sources

Affiliates must comply with Offer rules and use only approved traffic sources. Unless explicitly permitted in an Offer, Affiliates must not use:

  • illegal, deceptive, or misleading advertising;
  • malware, forced redirects, click injection, cookie stuffing, hidden iframes;
  • incentivized traffic (unless explicitly allowed);
  • spam (including unauthorized email/SMS/messaging);
  • any method that violates third-party platform rules or applicable law.

7.2 Content and claims

Affiliates must not make false claims, use unauthorized brand assets, or misrepresent Offers. All creatives and messaging must comply with Offer requirements and applicable law.

7.3 Europe-only

Affiliates must target European audiences and comply with country-specific requirements where the Offer is available.

8) Prohibited conduct (applies to everyone)

You may not:

  • engage in fraud or attempted fraud;
  • manipulate tracking or conversions;
  • create multiple accounts to evade restrictions;
  • violate applicable laws (including marketing/consumer protection laws);
  • interfere with or disrupt the Services;
  • attempt unauthorized access to systems or data.

We use monitoring and an anti-fraud layer to protect the network and may take action immediately if prohibited conduct is detected or suspected.

9) Tracking, attribution, and reporting

9.1 Attribution rules

Conversions are attributed based on our tracking systems and the Offer’s published rules (which may include cookies/identifiers, click IDs, and event timestamps). Tracking logic may differ by Offer and vertical.

9.2 Discrepancies

If there is a discrepancy between third-party reports and our platform, we will review in good faith. Unless otherwise required by an applicable agreement, our platform records are the primary reference for commission calculations.

9.3 Tracking integrity

You agree not to interfere with tracking or attribution. Any attempt to manipulate tracking may result in immediate suspension and forfeiture of unpaid amounts related to fraudulent activity where permitted by law.

10) Commissions, validations, and payouts (Affiliates)

10.1 When commissions are earned

Commissions are earned when conversions occur and are recorded under the Offer rules. Some conversions may require validation (e.g., quality checks, duplication checks, or advertiser confirmation) depending on the Offer.

10.2 Holds, adjustments, and reversals

We may temporarily hold, adjust, or reverse commissions where we reasonably believe:

  • conversions are invalid, duplicated, or fraudulent;
  • traffic violates Offer rules;
  • there is a material error in tracking or reporting;
  • required validations have not been completed.

10.3 Payout method and limits

Payouts are made to bank cards in the Affiliate’s own name, subject to platform rules and availability.

  • Minimum payout: €5
  • Maximum per transaction: €2,000
  • We operate exclusively in Europe.

10.4 Taxes

Affiliates are responsible for their own tax obligations. We may request reasonable information needed for accounting and lawful operations.

11) iGaming / restricted verticals (special terms)

Where Offers are in Gambling & iGaming or other restricted verticals:

  • availability depends on local regulations and Offer requirements;
  • stricter rules, geo limitations, and traffic restrictions may apply;
  • Advertisers must ensure licensing/authorization; Affiliates must follow Offer rules precisely.

12) Intellectual property

We own the Services, platform, and related IP. You receive a limited, non-exclusive, non-transferable right to use the Services as permitted by these Terms.

Advertiser and Affiliate trademarks and content remain their respective property. Each party grants the other only the limited rights necessary to operate campaigns under the Offer rules.

13) Confidentiality

Non-public business, technical, and commercial information shared through the Services (including Offer terms not publicly disclosed) may be confidential. You agree not to disclose such information except as required to run campaigns lawfully or as required by law.

14) Suspension and termination

We may suspend or terminate your access immediately if we reasonably believe:

  • you violated these Terms or Offer rules;
  • your activity presents fraud/security risk;
  • we must do so to comply with law or protect the network.

You may stop using the Services at any time. Termination does not remove obligations that by nature should survive (e.g., confidentiality, indemnities, liability limits).

15) Disclaimers

The Services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, error-free operation, or specific performance outcomes.

Performance marketing involves variables beyond our control (market conditions, platform changes, advertiser funnels, user behavior). You are responsible for your own business decisions and risk management.

16) Limitation of liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential, or punitive damages;
  • our total liability for any claim related to the Services is limited to the fees paid to us by the claimant in the [3/6/12] months preceding the event giving rise to the claim (choose one), or €[X], whichever is lower.

Nothing in these Terms limits liability that cannot be limited by law.

17) Indemnification

You agree to indemnify and hold us harmless from claims, damages, and costs arising from:

  • your breach of these Terms;
  • your campaigns, content, traffic sources, or Offers;
  • your violation of law or third-party rights.

18) Changes to the Services or Terms

We may update the Services and these Terms. We will post updates with a new “Last updated” date. Material changes may be communicated within the Services or via email.

Continuing to use the Services after changes become effective constitutes acceptance.

19) Governing law and disputes

These Terms are governed by the laws of [United Kingdom] (without regard to conflict of law principles).
